Welcome to the web site (the "Site") of Entertainment Events, Inc. ("EEI"). The following are the Terms of Use (these "Terms") that govern use of the Site. By using or visiting the Site, you agree to be bound by and follow these Terms and all applicable laws and regulations governing the Site. EEI reserves the right to change these Terms at any time, effective immediately upon posting on the Site. Please check this page of the Site periodically. If you violate these Terms or applicable law or any of EEI's rights, then EEI may terminate your use of the Site, bar you from future use of the Site or access to other products or services of EEI, cancel a pending ticket order or tickets you have received through the Site, and/or take appropriate legal action against you.

OFFICIAL CONTEST RULES

These are the official rules that govern the Funniest Girls' Night Out contest (the "Contest").

Sponsor: Entertainment Events, Inc., 320 West 37th Street, 8th Floor, New York, NY 10018 (together with any person or company that we may use to run the Contest, "we," "our," and "us").

ELIGIBILITY

The Contest is open to any resident of the United States who is 18 or over.

PRIZES

• A set of four (4) premium tickets to Girls Night: The Musical (The "Show") in New York City on or before August 1st, 2010, and a package containing a CD with the Show soundtrack, feather boas, tiaras, and/or other similar items (a "Merchandise Package").


• Each prize consists only of the tickets and the Merchandise Package. They do not include any airfare, ground transportation, lodging, or meals.


• Tickets for any performance are subject to availability.

HOW TO ENTER

Between 9:01 AM (EST) on June 28th, 2010, and 11:59 PM (EST) on July 6th, 2010 (the "Entry Period"), send us a single e-mail that contains, in the body, and not as an attachment, a compelling and original essay of 500 words or fewer that describes a funny Girls' Night Out that really happened to you (an "Entry"). Your Entry should state which prize you want to win. If your Entry meets the requirements for an eligible Entry (below), you will be eligible to win that prize.

We will accept only one Entry per person. We are not responsible for entries that we do not receive for any reason, or for entries that we receive but are not decipherable for any reason. We will automatically disqualify any incomplete or illegible Entry.

WHAT CONSTITUTES AN ELIGIBLE ENTRY?

To be an eligible Entry, in addition to containing no more than 500 words, your Entry may not (as determined by us, in our sole and absolute discretion):

• Be sexually explicit, profane, pornographic, unnecessarily violent or derogatory of any ethnic, racial, gender, religious, professional or age group;


• Promote the use of alcohol, illegal drugs, tobacco, firearms/weapons or a particular political agenda;


• Be obscene or offensive;


• Defame, misrepresent or contain disparaging remarks about other people or companies;


• Contain statements that reveal intimate, non-public or embarrassing information about other people;


• Contain materials embodying the names, likenesses, voices, or other indicia identifying any person (other than members of your family or friends from whom you have received consent) including, without limitation, celebrities and/or other public or private figures, living or dead; or


• Infringe anyone else's copyright.

We reserve the right to reject any Entry, in our sole and absolute discretion, that we determine does not meet the above criteria.

IF I SUBMIT AN ENTRY, WHAT MAY YOU DO WITH IT?

By submitting an Entry, you are granting us an irrevocable, royalty-free, worldwide right and license to:

• Reproduce, display, and distribute copies of your Entry, in whole or in part, in connection with the marketing, sale, or promotion of this Contest, Entertainment Events, Inc., Girls' Night Out, and any other show or event that we produce or sponsor, alone or with others, directly or indirectly, in any way we can think of. That would include, but would not be limited to, display in internal and external sales presentations and meetings, trade shows, in press releases, and on Web sites, in all media now known or later developed. You also agree to sign any necessary documentation that may be required for us and our designees to exercise the rights you granted above.


• Use your e-mail address to send you promotions about shows and other events that we produce or sponsor or are otherwise involved in.

If you do not want to grant us these rights, please do not enter this Contest.

WHAT IS MY RESPONSIBILITY IN CONNECTION WITH ANY ENTRY THAT I SUBMIT?

You promise that (i) you created the Entry yourself; (ii) if the Entry contains any content created or owned by anyone else, such as a quotation or a sound recording, you have written permission from that person or company to post, show or play that content as part of the Entry on the Contest Page and wherever else we may display or perform it if we use your Entry for general promotional purposes; (iii) if the Entry includes any name, photo, voice, or footage of any person, you have written permission to post, show or play that name, photo, voice or footage as part of the Entry on the Promotion Page and wherever else we may display or perform it if we use your Entry for general promotional purposes; (iv) the Entry doesn't say anything about any person or entity that is not true and (v) the Entry does not reveal something private or embarrassing about any identifiable person or entity.

WHAT OTHER CONDITIONS AM I AGREEING TO BY ENTERING THE CONTEST?

By entering the Contest, you:

• Agree to abide by these Official Rules;


• Release us, our affiliates and representatives, and our and their directors, employees, officers, parents, subsidiaries, affiliates, distributors, advertising and promotion agencies, and all others associated with the development and execution of this Contest, from any and all damages, losses or other liability with respect to or in any way arising out of the Contest and/or your acceptance or use of any prize, including, without limitation, personal injury, death, or other damages;


• Indemnify and hold harmless us and our affiliates and our respective parents, subsidiaries, affiliates, employees and agents from any third-party claims arising out of the contents of your Entry (including, but not limited to, any defamation, invasion of privacy, or right of publicity claims) and arising out of the Contest and/or your acceptance and use of any prize, as provided above;


• Acknowledge that we or any company that we use to run this Contest may have developed or commissioned content similar or identical to your Entry and you waive any claims you may have resulting from our use of your Entry; and


• Understand that you will not receive any compensation or credit for use of your Entry, other than as described in these Official Rules.

DETERMINATION OF WINNERS/REDEMPTION OF PRIZES

At the end of the Entry Period, on or about July 6th, 2010, we will pick from the Entries for each city the Entry that we think is the funniest and that is well written.

We will notify each winner by sending a message to the e-mail address from which that person's winning Entry was submitted. In each case, we will consider the winner to be the authorized account holder of the e-mail address used to enter the Contest.

If you win, then when we notify you, we will ask you to respond within 48 hours with a first choice night and a second choice night to see the Show in the location you chose when you submitted your Entry. If four premium tickets are available for your first-choice night, we will send you the tickets electronically. If tickets are not available for your first-choice night but they are available for your second-choice night, we will send you electronic tickets for that night electronically. If there are not four premium tickets available for either night, you will have to choose another night.

If you do not respond within 48 hours, or if the notification that we send you is returned as undeliverable, you will forfeit the prize and we will pick another winning Entry.

Your acceptance of a prize constitutes permission for us and our licensees to use your name and any statements you may make about the Contest or the prize (in addition to the Entry itself), and to identify your state of residence, in all media for purposes of advertising, promotion and trade, without payment or compensation to you, except where prohibited by law (even if we also ask you to sign a document that says this). If you send us a photo or a video of you, you give us permission to use that photo or video of you for the same purposes.

In addition, if you are the winner:

• We may require you to sign an Affidavit of Eligibility and a W-9 tax form or W-8 BEN tax form within 10 days of notification. If you are 18 or older, but you are considered a minor in your place of legal residence, we may require your parent or legal guardian to sign all required forms on your behalf.
• You may not exchange your prize for cash or any other merchandise or services.
• You may not designate someone else as the winner. If you are unable or unwilling to accept your prize, we will pick another Entry.
• If you win, once you receive your tickets, you may not cancel your reservation or reschedule it to another date.
• If the Show is cancelled for any reason in the venue where you were supposed to see it, we will have no obligation to you to reschedule it or give you other tickets.
• You will be solely responsible for all applicable taxes.

WHAT LAWS GOVERN THE WAY THIS CONTEST IS EXECUTED AND ADMINISTRATED?

This Contest will be governed by the laws of the State of Michigan. You consent to the exclusive jurisdiction and venue of the courts of the State of Michigan in connection with any dispute arising out of this Contest.

WHAT IF SOMETHING UNEXPECTED HAPPENS AND THE CONTEST CAN'T RUN AS PLANNED?

If someone cheats, or a virus, bug, catastrophic event, or any other unforeseen or unexpected event that cannot be reasonably anticipated or controlled (also referred to as force majeure) occurs that affects the fairness or integrity of this Contest, we reserve the right to cancel, change or suspend this Contest. If a solution cannot be found to restore the integrity of the Contest, we reserve the right to select winners from among all eligible entries received before we had to cancel, change or suspend the Contest.

If you try to compromise the integrity or the legitimate operation of this Contest by hacking or by cheating or committing fraud in ANY way, we may ban you from participating in any of our future contests and seek damages from you to the fullest extent permitted by law.

HOW CAN I FIND OUT WHO WON?

We will post the name of the winners on this page for one month after July 8th, 2010.

Permitted Use

You agree that you are only authorized to visit, view and retain a copy of pages of this Site for your personal use. You agree not to copy, reproduce, download, publish, publicly display, exhibit, distribute, modify, alter or create derivative works from the material on this Site for any purpose other than to review event and promotional information, solely for personal use, or to purchase tickets or merchandise (unless otherwise specifically authorized by EEI to do so). You agree not to deep-link to or frame the Site for any purpose or to use or link to any area of the Site for any commercial purpose (unless specifically authorized by EEI to do so). The content and software on this Site is the property of EEI and/or its suppliers and is protected by U.S. and international copyright laws. If you make copies of pages of this Site for your personal use, you may not remove the legal notices and credits on those pages.

Control of the Site

EEI reserves the right, in our sole discretion, to modify, suspend or discontinue any part of this Site at any time without notice to you. We also reserve the right, in our sole discretion, to impose limits on certain features and services and to restrict access to all or any part of the Site without notice to you. We shall not be liable to you or any third party for any loss, liability, claim, demand or cause of action arising out of our exercise of the foregoing rights.

Complying with Laws; Truthfulness and Accuracy of Information You Provide; Verifications and Authorizations

Certain states, counties and cities regulate the sale and/or purchase of tickets to entertainment events. You agree that complying with laws is your responsibility, AND YOU AGREE NOT TO HOLD EEI LIABLE FOR YOUR FAILURE TO COMPLY WITH ANY LAW OR EEI'S FAILURE TO NOTIFY YOU OF, OR PROPERLY APPLY, ANY LAW. WE WILL COMPLY WITH LAW ENFORCEMENT AND MAY PROVIDE THEM WITH ALL INFORMATION YOU SUBMIT TO US TO ASSIST IN ANY INVESTIGATION OR PROSECUTION THEY MAY CONDUCT. You may be asked to provide information during processes you engage in on the Site. You represent and warrant that all information you provide will be true, complete and correct, and that you will update all information as it changes. If we are unable to verify or authenticate any information you provide during any registration, ordering, purchase, authentication, delivery, payment, remittance or other process of any kind, or if we are no longer able to verify or authorize your credit card or bank account information, then you may be prohibited from using the Site.

User Contributions to the Site

From time to time, the Site may provide you with opportunities to contribute to the Site, which may include, e.g., uploading information to a user profile viewable by any Site user. Anything that is contributed to the Site by you or other Site users is called "User Content" in these Terms. EEI is not liable or responsible for any User Content. The contributions of you, other Site users or other third parties do not necessarily represent the view or opinions of EEI. EEI cannot preview User Content before it appears. Users can be held liable for any illegal or prohibited User Content, including (among other things) illegal, infringing, defamatory or offensive materials. User Contributions and Personal Privacy

You may also make contributions to the Site by means of emails sent to us (e.g., when you send reviews or comments after seeing one of our shows). By sending any email to us, you are granting us a perpetual, irrevocable, unconditional, compensation-free license to use any or all of the contents of that email on the Site as, when and where we deem advisable. We will treat your emails and any User Content you provide as non-confidential and non-proprietary to you AND NOT SUBJECT TO THE PRIVACY POLICY GOVERNING THE SITE. Without limiting the generality of the foregoing, by providing User Content you authorize EEI and its licensees to distribute, reproduce or otherwise use that User Content.

Commercial Use

You may not use the Site, including by means of providing User Content, for any commercial purpose (unless specifically authorized by EEI to do so), whether by advertising, solicitations, links, framing or other forms of communication.

Privacy

These Terms are subject to the Privacy Policy, which is incorporated herein by reference. EEI is not responsible or liable for any use or disclosure of your contact or financial information by a third party to whom EEI is allowed to disclose such contact information under the Privacy Policy.

Links to Other Sites

The Site may reference or link to third party sites throughout the World Wide Web, including sites maintained by third parties who are presenting our various shows. EEI has no control over those sites or their content. EEI cannot represent or warrant that the content contained in the sites is accurate, legal and/or inoffensive. EEI does not endorse the content of any third party site, nor do we warrant that they will not contain viruses or otherwise impact your computer. You agree that you may not make any claim against EEI for any damages or losses resulting from your use of the Site to link to another site. If you have a problem with a link from the Site, please notify us at webmaster@entertainmentevents.com.

Offline Conduct

Although EEI cannot monitor the conduct of users off the Site, it is a violation of these Terms to use any information obtained from the Site in order to harass, abuse or harm another person or to contact, advertise to, solicit or sell to any Site user without that user's prior explicit consent.

Access and Interference

You agree that you will not use any robot, spider or other automated device, process or means to access the Site. You will not use any manual process to monitor or copy our web pages or the content contained thereon for any other unauthorized purpose. You will not attempt to interfere with the proper working of the Site, including by means of any device, software or routine that interferes with its proper working. You will not take any action that imposes an unreasonable or disproportionately large load on our infrastructure.

Suspected Violation of these Terms of Use or Law; Equitable Relief

Violations of these Terms of Use may be investigated and appropriate legal action may be taken, including civil, criminal and injunctive redress. You agree that in EEI's sole discretion, and without prior notice, EEI may terminate your access to the Site, cancel your ticket order or tickets acquired through your ticket order, remove any unauthorized User Content or exercise any other remedy available, if EEI believes that your conduct (or the conduct of any person with whom EEI believes you act in concert) or your User Content violates or is inconsistent with these Terms or the law or violates the rights of EEI, a customer of EEI or another user of the Site. EEI is not required to provide any refund to you if it exercises any of its rights or remedies because of any such violation by you. You agree that monetary damages may not provide a sufficient remedy to EEI for violations of these Terms, and you consent to injunctive or other equitable relief for such violations.

Ticket Purchase and Related Policies

All ticket prices for events that occur in the United States are stated in U.S. Dollars. In offering and selling tickets to you, EEI acts as the agent to those who are presenting, promoting or otherwise providing the events for which you purchase tickets ("Event Providers"). Because it is only an agent for the Event Providers, EEI has no control over (among other things) the inventory, pricing or availability of tickets, the seating locations at events, or the cancellation or postponement of, or other changes that may affect, the events for which you purchase tickets. You agree that the Event Providers alone are responsible for all such matters, and that EEI will not be liable to you or any third party for any loss, liability, claim, demand or cause of action arising out of the acts or omissions of Event Providers relating any such matters. You agree also that it is solely your responsibility to determine whether or not a ticket order placed by you on the Site has been successfully processed. For example, if you do not receive a confirmation number (in the form of a confirmation page or email) after submitting payment information, or if you experience an error message or service interruption after submitting payment information, it is your responsibility to contact our customer service department to ascertain what happened. EEI will not be responsible for losses (monetary or otherwise) if you assume that a ticket order was not placed because you failed to receive confirmation. You should carefully review your event, venue, date and other selections before you finalize a ticket order. EEI generally will be prohibited or unable to issue a refund or exchange after a ticket has been purchased or for lost, stolen, damaged or destroyed tickets. Tickets purchased on the Site are typically subject to a per ticket convenience charge, which may changed from time to time (as will be set forth on the Site). An unused ticket is not redeemable for cash.

Event Policies; Revocability of Tickets

A ticket is a revocable license granted to you by a particular Event Provider. An Event Provider may refuse you admission upon refunding the ticket's face amount. An Event Provider may revoke your ticket for a variety of reasons, including your breach of terms, rules or regulations governing the venue you are attending (e.g., for disorderly conduct, the use of vulgar or abusive language or the use of audio, visual or audio-visual recording devices). By purchasing a ticket for an event on this Site, you agree not to record or transmit, or aid in recording or transmitting, any description, account, picture or reproduction of that event.

Billing Information Verification; Billing Errors; Pricing and Other Errors

Ticket orders are processed only after a billing address and other billing information have been verified. Occasionally, we receive incorrect billing or credit card account information for a ticket order that can delay processing and delivery. In these cases, EEI customer service will attempt to contact you using the information provided at the time of purchase. If EEI is unable to reach you after its initial attempt, EEI may cancel your order and may sell your tickets to another customer without having any liability to you whatsoever. If the amount you pay for a ticket is incorrect, regardless of the reasons therefor (e.g., because of an error in a price posted on this Site or otherwise communicated to you, or because of a transactional malfunction of this Site), or if you are able to order a ticket that was not supposed to have been released for sale, then EEI will have the right to cancel that ticket (or the order for that ticket) and refund to you the amount that you paid.

EEI DOES NOT PROMISE THAT THE SITE WILL BE ERROR-FREE OR UNINTERRUPTED OR THAT YOUR USE OF THE SITE, OR OF ANY CONTENT, LINK OR SERVICES ON THE SITE, WILL PROVIDE ANY SPECIFIC RESULTS. THE SITE AND ITS CONTENT ARE DELIVERED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. Limitation on Liability

EEI WILL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND ARISING FROM YOUR USE OF THIS SITE OR ANY PRODUCTS OR SERVICES OFFERED OR MADE AVAILABLE THEREON, EVEN IF EEI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Indemnity

You agree to indemnify and hold harmless EEI and its affiliates, and each of EEI's and its affiliates' respective directors, officers, employees, agents, contractors and principals, from and against any loss, liability, claim, demand or cause of action (including reasonable attorneys' fees) asserted by any third party due to or arising out of your use of the Site.

Disputes

If you have a dispute and your dispute involves your use of this Site or an event (or a ticket for an event) that is located in the United States, then the dispute will be governed by the laws of the State of New York (without regard to its conflict of law provisions), and you consent to personal jurisdiction, and agree to bring all actions, exclusively in state and federal courts located in New York County, NY.

U.S. Export Controls

The Site and software derived from the Site is subject to United States export controls. No software from this site may be downloaded or otherwise exported or re-exported: (i) into (or to a national or resident of) Cuba, Iraq, Libya, North Korea, Iran, Syria or any other country to which the U.S. has embargoed goods; or (ii) to anyone on the U.S. Treasury Department's list of Specially Designated Nationals or the U.S. Commerce Department's Table of Deny Orders. By downloading or using the Site or any software derived therefrom, you represent and warrant that you are not located in, under the control of, or a national or resident of any such country or on any such list.
